Welcome to Ouish. Afrosavant Digital Technologies Limited, trading as Ouish ("Ouish," "we," "us," or "our"), provides a wishlist and gift registry platform through its website at https://ouish.co and any associated mobile applications (collectively, the "Site"). By visiting or using the Site, you accept these Terms of Service ("Terms"). Please read them carefully.

By accessing or using the Ouish platform or any current or future Ouish services, content, or materials (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines posted on the Site. If these Terms conflict with any additional policies, these Terms will control.

You agree that by visiting the Site or using the Services, you are entering into a legally binding agreement between you and Ouish regarding your use of the Site and Services.

Privacy

Please review our Privacy Policy, available at ouish.co, which also governs your use of the Site and Services. Our Privacy Policy explains how we collect, use, and protect your Personal Information in compliance with applicable laws including the Nigeria Data Protection Regulation (NDPR), the EU General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA).

Electronic Communications

When you use any of the Services, or send emails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you in a variety of ways, such as by email, push notification, or by posting notices and messages on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

1. Copyright

All content included in or made available through the Site or the Services — such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software — is the property of Ouish or its content suppliers and is protected by applicable copyright laws. The compilation of all content included in or made available through the Site or the Services is the exclusive property of Ouish. All software used on the Site is the property of Ouish, its affiliates, or its software suppliers and is similarly protected.

2. Trademarks

The Ouish name, logo, and all related graphics, page headers, button icons, scripts, and service names included in or made available through the Site or Services are trademarks or trade dress of Ouish. These trademarks and trade dress may not be used in connection with any product or service that is not Ouish's, in any manner likely to cause confusion, or in any manner that disparages or discredits Ouish. All other trademarks appearing on the Site are the property of their respective owners, who may or may not be affiliated with Ouish.

3. Licence and Access

Subject to your compliance with these Terms and your payment of any applicable fees, Ouish grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and make personal and non-commercial use of the Site and Services. This licence does not include:

  • Any resale or commercial use of the Site or Services or their contents
  • Any derivative use of the Site, Services, or their contents
  • Any downloading, copying, or other use of account information for the benefit of any third party
  • Any use of data mining, robots, scrapers, or similar data gathering and extraction tools

No part of the Site or Services may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of Ouish. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information of Ouish without express written consent. You are granted a limited, revocable, and non-exclusive right to create a hyperlink to the home page of the Site, so long as the link does not portray Ouish or its products or services in a false, misleading, derogatory, or otherwise offensive manner.

All rights not expressly granted to you in these Terms are reserved and retained by Ouish or its licensors. The licences granted by Ouish terminate if you do not comply with these Terms.

4. Your Account

You must create an account to access and use the Services. When registering, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

You must be at least 13 years of age to create an account and use the Services. By creating an account, you represent and warrant that you meet this requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Services.

Ouish reserves the right to refuse service, suspend, or terminate accounts, or remove or edit content at its sole discretion, including for violations of these Terms or conduct that we determine is harmful to other users, Ouish, or third parties.

5. The Services

Ouish provides a wishlist and gift registry platform that allows users to:

  • Create and manage personal wishlists for special occasions and everyday gifting
  • Share wishlists with friends, family, and other gifters via links or through the platform
  • Receive gifts purchased by gifters directly from their wishlist
  • Store and view notes, messages, and well wishes left by gifters
  • Manage delivery preferences and gift fulfilment details within the platform

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

6. Comments, Communications, and Other Content

Users may submit content including wishlist items, notes, well wishes, messages, profile information, and other materials through the Services. By submitting content, you agree that it will not be:

  • Illegal, obscene, threatening, defamatory, or invasive of another's privacy
  • Infringing of any intellectual property or publicity rights
  • Otherwise injurious to third parties or objectionable
  • Containing software viruses, spam, chain letters, mass mailings, or unsolicited commercial messages
  • Misleading as to origin, including use of a false identity or impersonation of any person or entity

By submitting content to the Services, and unless we indicate otherwise, you grant Ouish a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media, solely for the purpose of operating, improving, and promoting the Services.

You represent and warrant that you own or otherwise control all rights to the content you submit, that the content is accurate, and that its use will not violate these Terms or cause harm to any person or entity. Ouish reserves the right to monitor, edit, or remove any content at its discretion but assumes no obligation to do so.

7. Sanctions and Export Policy

You may not use the Services if you are subject to any applicable sanctions or trade restrictions imposed by Nigeria, the United States, the European Union, or any other relevant governmental authority. You must comply with all applicable export and re-export restrictions that may apply to goods, software, technology, and services.

8. Other Businesses and Third-Party Links

The Site may include links to third-party websites, merchants, or services. We are not responsible for examining or evaluating the offerings of any of these third parties, and we do not warrant their products, services, or content. Ouish does not assume any responsibility or liability for the actions, products, or content of any third party. You should carefully review the privacy policies and terms of use of any third-party services you access through the Site.

9. Disclaimer of Warranties and Limitation of Liability

THE SITE AND SERVICES, AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE OR SERVICES ARE PROVIDED BY OUISH ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. OUISH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE OR SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE), OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE OR SERVICES.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, OUISH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. OUISH DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, OUISH WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.

10. Refund Policy

Third-Party Purchases

Ouish is a wishlist and gift registry platform. All gifts purchased through wishlists on Ouish are fulfilled by third-party merchants and retailers. Ouish is not a party to any transaction between a gifter and a third-party merchant and accepts no responsibility or liability for gifts that are not delivered, arrive damaged, arrive late, or significantly differ from their description.

If you experience any issue with a purchased gift, you must contact the merchant or retailer directly from whom the purchase was made to request a refund, replacement, or resolution. Each merchant's own refund and returns policy will apply.

Refundable Items

Ouish will process refunds in the following circumstance:

  • Where a cash gift is made to a wishlist using a verifiably stolen payment card, fraudulent bank transfer, or other fraudulent payment method, Ouish will reverse or refund the transaction to the extent that the wishlist owner has not yet withdrawn the funds at the time the fraud is confirmed. To initiate a fraud-related refund claim, you must contact us promptly at hello@ouish.co with supporting documentation, including any evidence of the fraudulent activity and, where applicable, a report filed with the relevant financial institution or law enforcement authority. Ouish reserves the right to place a hold on affected funds pending investigation and to cooperate with financial institutions, payment processors, and relevant authorities in resolving such claims. We cannot guarantee recovery of funds that have already been withdrawn by the wishlist owner prior to notification of the fraud.

Non-Refundable Items

The following are not eligible for refunds from Ouish:

  • Digital goods or services that have already been accessed or delivered
  • Gifts that have been successfully delivered and accepted by the wishlist creator
  • Purchases where the gifter voluntarily cancels after successful delivery
  • Any fees associated with platform subscriptions or premium features, once used
  • Cash gifts that have already been withdrawn by the wishlist owner prior to a fraud claim being raised

Wishlist Creator Responsibilities

Wishlist creators are responsible for ensuring their delivery address and preferences are accurate and up to date. Ouish is not liable for failed or misdirected deliveries resulting from incorrect or outdated information provided by the creator.

11. Disputes

Any dispute or claim arising out of or relating in any way to your use of the Site, the Services, or these Terms will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms as a court would.

To begin an arbitration proceeding, you must send a written letter requesting arbitration and describing your claim to us at the address listed under Section 14. We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

12. Applicable Law

By using the Site and Services, you agree that the laws of the Federal Republic of Nigeria, without regard to principles of conflict of laws, will govern these Terms and any dispute of any sort that might arise between you and Ouish. You agree to submit to the personal and exclusive jurisdiction of the courts located in Nigeria for the resolution of any disputes not subject to arbitration under Section 11.

13. Site Policies, Modification, and Severability

Please review our other policies posted on the Site, including our Privacy Policy. We reserve the right to make changes to our Site, policies, and these Terms at any time. We will endeavour to notify you of material changes by email or by posting a notice on the Site. Your continued use of the Services after any change constitutes your acceptance of the updated Terms.

If any provision of these Terms is deemed invalid, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

15. How to Serve Legal Notices

Ouish accepts service of subpoenas or other legal process only at the registered address listed above. Legal process may be served by sending written notice to:

16. Notice and Procedure for Intellectual Property Infringement Claims

Ouish respects the intellectual property rights of others. If you believe that your intellectual property rights have been infringed through the Site or Services, please submit a complaint by emailing hello@ouish.co with the subject line "IP Infringement Claim." This email may be used to report all types of intellectual property claims including copyright, trademark, and patent claims.

For copyright infringement claims specifically, your written notice must include the following:

  • A physical or electronic signature of the person authorised to act on behalf of the copyright owner
  • A description of the copyrighted work that you claim has been infringed
  • A description of where the allegedly infringing material is located on the Site
  • Your name, address, telephone number, and email address
  • A statement that you have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent, or applicable law
  • A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or are authorised to act on the copyright owner's behalf

Please note that this procedure is exclusively for notifying Ouish that your copyrighted material has been infringed. Ouish reserves the right to remove content alleged to be infringing without prior notice and at its sole discretion.
